For the purposes of this paragraph, the expression “termination event” means the insolvency, dissolution, winding up, or the appointment of an administrator, an administrative receiver or a liquidator or the commencement of proceedings for any of these in respect of the relevant entity or the assets or undertaking of the relevant entity.
- Upon termination of membership the former member will be required to remove all reference to their APSCo membership from company literature (both hard copy and online) and will also be required to return their current certificate of membership.
- APSCo does not accept or assume any responsibility for any claims, demands, actions, proceedings, damages, losses, loss of profit, costs, expenses or any other consequences, whether direct or indirect, arising from the Review. Affiliate members should be aware that the Review is designed to check a limited number of features of some or all of the Relevant Services of affiliate members, at the moment in time the Review is carried out. Compliance requirements in this area are very complex and best practice is constantly changing. Affiliate members should therefore be aware that the Review is not intended to be, and cannot be, a comprehensive audit on which such affiliate members or other members or third parties can rely. In no way does it replace the need for members and others to carry out their own due diligence
- If, in relation to information APSCo receives about the Relevant Services of an affiliate member, the APSCo Executive considers in its reasonable opinion that an affiliate member should change the way in which it provides any Relevant Services, or cease to provide relevant Services in a particular way , APSCO shall be entitled to inform the relevant affiliate member and the affiliate member shall so cease or change the Relevant Services immediately failing which APSCo shall be entitled to suspend or terminate membership on reasonable notice which may be short or immediate notice if in the reasonable opinion of the APSCo Executive the Relevant Service appears to place candidates and/or members in danger of unexpected tax or other liability or actually or potentially to bring APSCo into disrepute.
- An affiliate member may not represent in any way to any candidate, staffing company or hirer that the passing of the Review is proof or the like that it is fully compliant with all applicable legislation.
* The level of the fine will depend on the severity of the breach, but will be no more than a year’s membership fee. All fines are paid to charity.
