Terms and Conditions (Members)

Rights of full members

Each member has the following rights:

  1. To be advised of forthcoming meetings and events. 
  2. To attend all members meetings and forum meetings. 
  3. To receive newsletters and other information updates. 
  4. To participate in policy decisions through voting. 
  5. To display and use the APSCo logo. 
  6. To have representation on the APSCo website. 
  7. To nominate Executive Committee Members as appropriate (full members may vote for all Full Membership categories / Affiliate members may vote for the Affiliate representative) NB – Due to discounted membership fees Group members are not eligible to vote. 
  8. To stand for a position on the APSCo Executive Committee. 
  9. To be informed of the date and agenda of a forthcoming Annual General Meeting. 
  10. To be invited to all social events organised by APSCo – e.g. Charity Ball etc. 
  11. APSCo has a formal complaints procedure which may be utilised by members as appropriate. 
  12. In the event of a complaint being made against a member, the member has the right to be made aware of the complaint and make representation on their own behalf. 
  13. To be treated by APSCo staff members in a professional manner and with confidentiality where applicable. 
  14. To enter the appropriate categories of the annual APSCo Professional Staffing Industry Awards.

APSCo Terms and Conditions of Membership

  1. Membership of APSCo runs from either 01 January or, if later, the date of joining to 31 December each year (the ‘Membership Year’). Subscriptions are payable for the full Membership Year.
  2. Membership may be cancelled by a member on 90 days written notice prior to the end of a Membership Year. Such cancellation is effective in respect of the Membership Year which follows the year in which it is cancelled. Notice should be provided in writing to the CEO of APSCo. 
  3. No refund of subscriptions will be made to a member who cancels their membership, for whatever reason, during a Membership Year. Any outstanding subscriptions for the relevant Membership Year are still payable. 
  4. All fees are payable within 30 days of the invoice date. Failure to do so may result in suspension of membership pending payment of the outstanding invoice(s). All fees are subject to VAT. 
  5. APSCo reserves the right to charge interest at 4% per annum above the Barclays Bank Base Rate on all overdue invoices. 
  6. A serious complaint against a member for breach of the code of conduct may result in immediate suspension of membership pending investigation of the complaint. 
  7. Any proven serious breach of the code of conduct may result in the member being fined / immediately suspended or membership being revoked. * 
  8. Termination of membership will be considered by the Executive Committee:
    8.1 in the case of a partnership, upon the occurrence of a termination event in respect of the partnership; or
    8.2 in the case of a body corporate, upon the occurrence of a termination event in relation to it; or
    8.3 in the case of a Group member as defined in Article 2.2.3 of APSCo’s Articles of Association, upon the occurrence of a termination event in respect of any of the companies, partnerships or other organisations comprising such Group Member.
    For the purposes of this paragraph, the expression “termination event” means the insolvency, dissolution, winding up, or the appointment of an administrator, an administrative receiver or a liquidator or the commencement of proceedings for any of these in respect of the relevant entity or the assets or undertaking of the relevant entity. 
  9. Upon termination of membership the former member will be required to remove all reference to their APSCo membership from company literature (both hard copy and online) and will also be required to return their current certificate of membership. 
  10. Many APSCo members deal with "umbrella" workers and/or workers operating through their own personal service companies. The law, and tax legislation in particular, relating to these workers is constantly changing. In addition, there are laws which can, under certain circumstances, transfer liability for deemed unpaid personal service company tax and/or social security to staffing companies. APSCo has attempted to do something to reduce these risks by from time to time carrying out an APSCo Compliance Review ("the Review") of APSCo affiliates who are involved in the operation of UK PAYE umbrella services and/or services supporting personal service company arrangements (together "the Relevant Services"). 
  11. APSCo does not accept or assume any responsibility for any loss, claims, demands, actions, proceedings, damages, loss of profit, costs, expenses or any other consequences, whether direct or indirect, arising from the Review. The Review is designed to check only a limited number of features of APSCo affiliates who offer or provide any Relevant Services at the moment in time the Review is carried out. Members should be aware that the Review is not intended to be, and cannot be, a comprehensive audit, and therefore members cannot rely upon it. It does not replace the need for members to carry out their own checks using professional advisors, and in particular does not (and cannot) include any checks on a) the financial standing of the APSCo affiliate which is another constantly changing factor, and b) services which are not Relevant Services such as any overseas payment structures, construction industry schemes, self employed structures and many more all of which involve other considerations far beyond the scope of the Review. 
  12. This document contains the entire agreement between APSCo and the member. Any representations, whether oral or writing, made prior to this agreement by APSCo to a prospective member shall not be part of this agreement and the member acknowledges that if any representations were made by APSCo to the member these were not representations that induced the member to enter into in this agreement.

* The level of fine will depend on the severity of the breach, but will be no more than a year's membership fee. All fines are paid to charity.
